Terms and Conditions:

This GENERAL SERVICE AGREEMENT (the "Agreement") is between (the "client") and Authentic Travel Connections (the "contractor").

 

 

FOUNDATION

The Client believes that the Contractor has the necessary qualifications, experience and abilities

 to provide services to the Client and the Contractor is agreeable to providing such services to the

 Client on the terms and conditions set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations

 set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, 

the Client and the Contractor (individually the "Party" and collectively the "Parties" to this Agreement)

 agree as follows:

1. ENGAGEMENT OF SERVICES

The Company engages the Agent as an independent contractor to provide travel agency services. The Agent agrees to perform the services in accordance with the Company's policies, procedures, and standards.

Promote and sell Authentic Travel Connections products and services.

Provide accurate information to customers.

Agents are strongly encouraged to seek feedback from clients upon their return from vacation and encourage them to provide a Google review. This practice is essential for maintaining the integrity of Authentic Travel Connections.

Authentic Travel Connections agents reflect the company and will be subject to termination should client reviews or interactions be negatively impactful to ATC reputation.

 

2. INDEPENDENT CONTRACTOR STATUS

The Agent acknowledges and agrees that they are an independent contractor and not an employee of the Company. The Agent is solely responsible for their own taxes, insurance, and any other obligations arising from their status as an independent contractor.

3. COMMISSIONS

The Agent shall be entitled to commissions as outlined in the Company's commission structure. The Company reserves the right to modify the commission structure at its discretion.

4. CONFIDENTIALITY

     A. Confidential information (the "Confidential Information") refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.

    B. The Agent agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which the Agent has obtained, except as authorized by the Authentic Travel Connections or as required by law. The obligations of confidentiality will apply during the term of this Agreement and will survive indefinitely upon termination of this Agreement.

    C. All written and oral information and material disclosed or provided by the ATC and the Agent under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Contractor.

TERM OF AGREEMENT

   D. The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until the completion of the Services which is 1 year, subject to earlier termination as provided in this Agreement. The Term of this Agreement may be extended with the written consent of the Parties.

    E. In the event that either Party wishes to terminate this Agreement prior to the completion of the Services, that Party will be required to provide 14 days' written notice to the other Party.

CURRENCY

   F. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in USD (US Dollars).

COMPENSATION

   G. The Travel Agent's compensation shall range between 65% - 85% commission of the total value of the bookings generated per trip. Compensation will be paid 30 days after the client returns from their completed trips.

   H. To receive commission, agents must have existing or potential client’s book through Authentic Travel Connections.

   I. It is the Independent Agent responsibility to input accurate information into clientease such as booking confirmation numbers.

   J. Commissions are paid 30 days after the trip is complete.

CAPACITY/INDEPENDENT CONTRACTOR

  K. In providing the Services under this Agreement it is expressly agreed that the Agent is acting as an independent contractor and not as an employee. The Agent and ATC acknowledge that this Agreement does not create a partnership and is exclusively a contract for service. Authentic Travel Connections is not required to pay, or make any contributions to, any social security, local, state or federal tax, unemployment compensation, workers' compensation, insurance premium, profit-sharing, pension or any other employee benefit for the Travel Agent during the Term. The agent is responsible for paying, and complying with reporting requirements for, all local, state and federal taxes related to payments made to the Contractor under this Agreement.

   K2.  Any agent found to engage in the embezzlement of funds from clients, including bookings made outside of Grace Resorts while representing as an agent, will be subject to immediate termination of agreement and legal prosecution to the full extent of the law. Grace Resorts reserves the right to pursue legal action to recover any misappropriated funds and to protect the interests and trust of our valued clients.

MODIFICATION OF AGREEMENT

  L.  Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.

GOVERNING LAW

  M. This Agreement will be governed by and construed in accordance with the laws of the country, state, and/or province where the service is performed.

SEVERABILITY

  N. In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.

WAIVER

  O. The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.

THINGS TO KNOW

   P. You will gain access to many suppliers that offer various services. It will be your responsibility to identify the best rates for your clients and communicate all inclusions.
